Why are we changing our Bylaws and Articles of Incorporation?
Our policies and procedures call for a review of the bylaws every three years. The bylaws were last approved by the membership on February 24, 2009. On January 31. 2012, the Board reviewed the bylaws and the Board concluded that no changes were needed then. In the fall of 2015, the Governance Committee conducted a thorough review, and amendments were defined and approved by the Committee for submittal to the Board for approval. Your Board approved the changes on January 12th. Now we need approval of our membership.
The changes proposed consider the current Standards and Practices adopted by KELT, the current actual methods and business practices employed by KELT and reflect the evolution of the organization from a largely Board administered organization to an organization administered by an Executive Director and staff with Board oversight and accountability.
